1. Agreement to terms

By creating an account or using easypocapp.com and related services (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Service

EasyPOC is a software tool that helps skilled nursing facility staff draft Plans of Correction, policies and procedures, clinical procedure references, competency checklists, survey preparedness materials, and related compliance documents, in part using automated and AI-generated content. The Service produces drafts and working aids only.

3. Not professional, legal, clinical, or compliance advice

EasyPOC does not provide legal, clinical, medical, or regulatory-compliance advice, and using the Service does not create any professional relationship. All output is a draft that you must independently review, verify, and edit for accuracy, completeness, and suitability before any use or submission. You are solely responsible for the content you submit to a surveyor, regulator, or any third party. EasyPOC does not guarantee that any output will be accepted by CMS, a state agency, or any other body, or that it reflects the most current regulations. AI-generated content can be inaccurate or incomplete and must be reviewed by qualified personnel.

4. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.

5. Subscriptions, billing, and pricing

The Service offers a free tier with limited monthly usage and a paid Professional plan. Paid subscriptions are billed in advance on a recurring basis through our payment processor, Stripe, and renew automatically until cancelled. You authorize us to charge your payment method for the applicable fees. You may cancel at any time; cancellation stops future renewals and access continues through the end of the current paid period. Except where required by law, fees are non-refundable. Prices, plan features, and usage limits may change; we will provide notice of material changes, and a promotional or early-adopter rate applies only as described at the time of purchase.

6. Acceptable use

You agree not to: use the Service unlawfully or to violate any regulation; upload content you lack the right to submit; attempt to reverse engineer, scrape, overload, or disrupt the Service; resell or provide the Service to third parties except as permitted; or use the Service to develop a competing product. We may suspend or terminate accounts that violate these Terms.

7. Your content and appropriate data

You retain ownership of the content you submit ("Your Content"). You grant EasyPOC a limited license to process Your Content solely to provide and improve the Service. You are responsible for ensuring you have the right to submit Your Content. The Service is not intended to receive protected health information (PHI) or other individually identifiable patient data, and you agree not to submit such information. Statements of Deficiency (Form CMS-2567) and similar documents should be submitted in their standard, de-identified form. EasyPOC does not act as a HIPAA business associate unless separately agreed in writing. [Confirm this posture with counsel based on your actual data flows.]

8. Intellectual property

The Service, including its software, design, and content we provide, is owned by EasyPOC and protected by law. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Service and to use the output you generate for your facility's internal compliance purposes. As between you and EasyPOC, you own the output you generate from Your Content, subject to our underlying rights in the Service.

9. Third-party services

The Service relies on third-party providers, including for hosting, database and authentication, payments, AI generation, and email. Your use of the Service is also subject to those providers' terms where applicable. We are not responsible for third-party services.

10. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that output will be accurate or compliant.

11. Limitation of liability

To the maximum extent permitted by law, EasyPOC and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim. [Confirm cap with counsel.]

12. Indemnification

You agree to indemnify and hold harmless EasyPOC from claims, losses, and expenses arising from Your Content, your use of the Service, or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or as needed to protect the Service. Sections that by their nature should survive termination will survive.

14. Changes to these Terms

We may update these Terms. Material changes will be posted here with a new effective date, and continued use after changes means you accept them.

15. Governing law and disputes
